Terms of Service

1. Agreement to Terms
By accessing or using Nadi services ("Services"), you agree to be bound by these Terms of Service ("Terms"). These Terms constitute a legally binding agreement between you ("Client") and Nadi ("Company," "we," "us"). If you do not agree to these Terms in their entirety, do not use our Services. By initiating service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.
2. Description of Services
Nadi provides AI visibility optimization services including but not limited to: AI platform auditing, content optimization, real-time monitoring across AI platforms (including ChatGPT, Claude, Perplexity, Gemini, and Google AI Overview), competitive intelligence, and diagnostic reporting. Services are delivered through Nadi's proprietary platform. Service scope and deliverables are defined by the Client's selected plan: Nadi ($99/month) or Nadi Pro ($399/month).
3. Subscription Terms
All subscription plans are billed monthly. Nadi ($99/month) provides AI visibility monitoring, diagnostics, and plain-language action items. Nadi Pro ($399/month) includes everything in Nadi plus done-for-you optimization, content generation, and implementation. Either party may cancel with thirty (30) days written notice. No minimum commitment period is required.
4. Payment Terms
Payment is due at the beginning of each monthly billing cycle. All payments are processed through Stripe. Prices are quoted and billed in USD. Failure to make payment within seven (7) days of the due date may result in suspension of Services. Nadi reserves the right to recover all outstanding balances plus reasonable collection costs.
5. 90-Day Performance Guarantee
Clients on Nadi Pro who do not see measurable improvements in AI visibility metrics within ninety (90) days of service activation may request a full refund of fees paid during that period. "Measurable improvements" are defined as documented positive changes in Nadi's visibility scoring system across one or more monitored AI platforms. This guarantee requires that the Client has maintained all access credentials and not interfered with Nadi implementations during the guarantee period.
6. Intellectual Property
Content, reports, and optimizations created by Nadi during the engagement are licensed to the Client for business use while the subscription is active. Upon cancellation, the Client retains any published content but loses access to the Nadi platform, dashboards, and proprietary tools. Nadi's methods, scoring algorithms, and proprietary systems remain the exclusive intellectual property of Nadi.
7. Cancellation
Either party may terminate this agreement with thirty (30) days written notice. Upon cancellation: (a) access to the Nadi platform terminates at the end of the current billing period; (b) published content created during the engagement remains with the Client; (c) dashboard access, reports, and monitoring cease immediately upon subscription end.
8. Confidentiality
Both parties agree to maintain the confidentiality of proprietary information received from the other party. Nadi's methods, tools, and optimization strategies constitute trade secrets. The Client agrees not to reverse engineer, replicate, or disclose Nadi's methods to third parties.
9. No Guarantee of Specific Results
While Nadi employs industry-leading methodologies, AI platform algorithms and recommendations are controlled by third parties including OpenAI, Anthropic, Google, and Microsoft. Nadi cannot guarantee specific rankings, placements, or outcomes on any AI platform. Results vary based on industry, competition, and platform algorithm changes. The 90-Day Performance Guarantee in Section 5 represents the extent of Nadi's performance commitments.
10. Limitation of Liability
Nadi's total aggregate liability shall not exceed the total fees paid by the Client in the three (3) months immediately preceding the event giving rise to the claim. Nadi shall not be liable for any indirect, incidental, special, consequential, or punitive damages.
11. Indemnification
The Client agrees to indemnify and hold harmless Nadi from claims arising from: (a) the Client's use of deliverables; (b) the Client's business practices; (c) the Client's violation of third-party rights; or (d) the Client's breach of these Terms.
12. Dispute Resolution
Disputes shall first be resolved through good-faith negotiation. If unresolved within thirty (30) days, disputes shall be submitted to binding arbitration in Nashville, Tennessee. The prevailing party shall be entitled to recover reasonable attorneys' fees.
13. Governing Law
These Terms shall be governed by the laws of the State of Tennessee, United States.
14. Modifications
Nadi reserves the right to modify these Terms at any time. Material changes will be communicated to active clients thirty (30) days in advance via email. Continued use of the Services after such notice constitutes acceptance of the modified Terms.
